Puffbase Vendor Terms and Conditions

These Vendor Terms and Conditions ("Terms") govern your use of the Puffbase marketplace platform ("Platform") to list and sell smoking-related products. By registering as a vendor and using the Platform, you ("Vendor," "you," or "your") agree to these Terms. If you do not agree, you may not use the Platform.

1. Vendor Registration and Account

1.1 Eligibility: You must be legally authorized to operate a business in the United States, comply with applicable federal, state, and local laws (including California laws), and provide all required information during registration.

1.2 Account Responsibility: You are solely responsible for maintaining the confidentiality of your account and ensuring that all information provided during signup, including your banking details, is accurate and up-to-date.

1.3 Bank Information: Bank account information provided during signup cannot be changed without written authorization from the account owner. Puffbase reserves the right to verify such authorization.

2. Compliance with Laws and Regulations

2.1 Vendor Responsibility: You are solely responsible for ensuring that all products listed on the Platform comply with all applicable federal, state, and local laws, including laws governing tobacco, vaping, and smoking products in California.

2.2 Prohibited Items: Vendors are strictly prohibited from listing or selling any illegal, counterfeit, or unregulated products, including but not limited to:

• Products that do not comply with FDA regulations or local ordinances.
• Products containing controlled substances (e.g., cannabis or THC) unless explicitly permitted under California law and with proper licensing.
• Any items banned in the state of California or the buyer's jurisdiction.

2.3 Age-Restricted Products: Vendors must comply with age-verification requirements for products restricted to buyers aged 21 and older. Failure to implement adequate measures to prevent underage sales may result in immediate termination of your account.

3. Commission and Fees

3.1 Commission Rate: Puffbase charges a 15% commission on all sales made through the Platform. This fee includes administrative, processing, and operational costs.

3.2 Vendor Responsibility: Vendors are responsible for any chargebacks, disputes, or claims arising from their transactions, including refunding any fees or costs incurred as a result.

4. Payout and Withdrawal of Funds

4.1 Holding Period: Funds from completed sales will be held for 21 days after the confirmed delivery of goods to the buyer. This holding period ensures compliance with Platform policies and addresses any disputes or chargebacks.

4.2 Withdrawal Requests: Vendors must manually request withdrawals of their available funds. Puffbase processes withdrawals via ACH transfer to the bank account on file.

4.3 Authorization and Security: Puffbase will only process withdrawal requests to the account provided during signup. Any changes to this account require prior written authorization from the account owner.

5. Product Listings and Content

5.1 Accuracy: Vendors are responsible for ensuring that product descriptions, pricing, and images are accurate, complete, and not misleading.

5.2 Content Ownership: By listing products on the Platform, you grant Puffbase a non-exclusive, royalty-free, worldwide license to use, display, and promote your listings.

6. Puffbase Rights and Responsibilities

6.1 Platform Oversight: Puffbase reserves the right to monitor, edit, or remove any product listings that violate these Terms or applicable laws.

6.2 Dispute Resolution: Puffbase may mediate disputes between buyers and vendors but is not obligated to do so. Puffbase’s decisions in such cases are final and binding.

6.3 Limitation of Liability for Illegal Items: Puffbase does not review or verify the legality of products listed by Vendors. You agree that Puffbase is not liable for any illegal, counterfeit, or unregulated items sold on the Platform. Vendors bear full legal responsibility for ensuring their products comply with applicable laws.

7. Indemnification

You agree to indemnify and hold Puffbase harmless from any claims, damages, losses, liabilities, or costs (including reasonable attorney’s fees) arising from:

• Your violation of these Terms.
• Your non-compliance with federal, state, or local laws.
• Claims related to your products, including but not limited to product liability, misrepresentation, or illegal items.

8. Waiver of Right to Sue

8.1 Acknowledgment: By registering as a Vendor on the Platform, you expressly acknowledge that Puffbase is a marketplace intermediary and not the seller of any products you list.

8.2 Waiver of Claims: To the fullest extent permitted by law, you irrevocably waive any and all rights to bring legal action, claims, or lawsuits against Puffbase, its affiliates, officers, employees, and agents for any reason, including but not limited to:

• Product liability or defects.
• Claims of fraud, misrepresentation, or negligence.
• Any financial losses, reputational harm, or other damages arising from your use of the Platform. 8.3 Limitation of Recourse: Your sole and exclusive remedy for any disputes or issues arising from the use of the Platform is the termination of your Vendor account and the cessation of Platform use.

9. Governing Law and Dispute Resolution

9.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. 

9.2 Dispute Resolution: Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in California.

10. Termination

10.1 Vendor Termination: Vendors may terminate their account by providing written notice to Puffbase.

10.2 Puffbase Termination: Puffbase reserves the right to terminate any Vendor account at its sole discretion, including but not limited to policy violations, fraudulent activity, or non-compliance with these Terms.

11. Changes to Terms

Puffbase reserves the right to modify these Terms at any time. Changes will be posted on the Platform, and continued use constitutes acceptance of the updated Terms.
